Terms of Service
The agreement between your dealership and ShadowRep.
Effective July 30, 2026
1. Acceptance
By using ShadowRep, you agree to these Terms.
2. Eligibility
Users must be legally able to enter contracts and protect account credentials.
3. Services
ShadowRep is an AI-powered automotive sales coaching and performance platform providing coaching, assessments, simulations, analytics, and training.
4. Accounts
You are responsible for activity under your account.
5. Subscriptions
Subscriptions renew until canceled. Fees are non-refundable except where required by law.
6. Acceptable Use
No reverse engineering, scraping, unlawful use, attempts to train competing AI from the platform, or misuse of AI outputs.
7. AI Coaching Disclaimer
AI recommendations are educational tools and do not guarantee sales, employment, legal, financial, or compliance outcomes.
8. Intellectual Property
ShadowRep retains ownership of all software, models, prompts, UI, scoring algorithms, GEAR Method, Buyer Intelligence Framework, Credit Intelligence Framework, coaching methodologies, and related intellectual property.
9. Customer Data
Customers retain ownership of uploaded data while granting ShadowRep a license to process it to provide the service.
10. Confidentiality
Each party agrees to protect confidential information.
11. Availability
Service may be updated, modified, or interrupted for maintenance.
12. Limitation of Liability
Maximum liability is limited to fees paid during the prior 12 months to the extent permitted by law.
13. Termination
Accounts may be suspended or terminated for violations.
14. Governing Law
Ohio law governs these Terms.
